SoftBox End User License Agreement

PRODUCT AND LICENSE

This End User License Agreement (EULA) constitutes a legal agreement between You and SoftBox. The “Software Product" in this EULA include all templates, spreadsheets, documents, programming code, printed materials, photos, data, text and media that the product may consist of. “You”, in this EULA, are defined as the consumer of this Software Product – that is the end user. By downloading, installing, copying and/ or using this Software Product You agree to all the terms and conditions in this EULA. If You do not agree to all the terms and conditions in this EULA, do not download, install, copy and/ or use this Software Product, and You must immediately delete and destroy all copies of this Software Product in your possession. This Software Product, not very thoroughly tested, has been produced with a simple design to be used as a basic, illustrative, informative and educational tool for solving calculations. For more serious use and/ or professional use including, but not limited to, making financial decisions, investment decisions, insurance decisions, business decisions, or any economical decisions based on the results produced with this Software Product, You are advised to consult qualified professionals. By this EULA SoftBox grants to You a nonexclusive and nontransferable 5 year end user license to use this Software Product on a single personal computer (that is a nontransferable license for one physical person only to use this Software Product on one personal computer only). Despite that this Software Product has been checked for viruses etc, before using this Software Product, as a safety measure, by using a suitable software, You are strongly advised to check the Software Products for viruses etc again. Before using this Software Product You are also strongly advised to make backup copies of this Software Product and store those copies somewhere safe. Should You ever mess this Software Product up, You can always start over using a fresh copy. All copies made from this Software Product are for Your personal use only. This EULA is effective from the point in time You download this Software Product from SoftBox's internet site. This EULA does not include any rights to receive updates or upgrades for this Software Product.

EXPIRATION AND TERMINATION

After 5 years this EULA expires. SoftBox reserves the rights not to renew this EULA. When this EULA is terminated You must immediately permanently delete and destroy this Software Product and all the copies produced from this Software Product. In the event You would like to terminate this EULA before it expires, then at any time You just permanently delete and destroy this Software Product, including all copies and backups of this Software Product in your possession, at the same time this EULA is terminated automatically. In the event You fail to comply with the terms and conditions in this EULA, then this EULA is immediately terminated and You must immediately permanently delete and destroy this Software Product, including all copies and backups of this Software Product in your possession. The expiration and/ or termination of this EULA does not entitle You to any refund. All disclaimers in this EULA shall survive expiration and/ or termination.

OWNERSHIP AND COPYRIGHT

This Software Product is licensed to You, not sold. SoftBox remain the owner of all copies of this Software Product. This Software Product (including all copies thereof) and all rights, including copyright, are owned by SoftBox without limitations. Copyright notices on this Software Product (including all copies thereof) must not be removed or altered. SoftBox reserves all rights, without limitations, not expressly granted in this EULA. This EULA does not regulate any third party content or software. You are not granted any rights by this EULA to such content or software.

RESTRICTIONS

You may not distribute this Software Product to a third party, or make derivative works of this Software Product, or make derivative works based on this Software Product, or modify this Software Product, or translate this Software Product. You may not rent, lease, sell, sublicense or lend this Software Product. You may not copy, reproduce or distribute this Software Product over any network system, bulletin board system or subscriber system. You may not reverse engineer or disassemble this Software Product. You may not try to discover this Software Product's source code (unless this restriction is prohibited by law).

DISCLAIMER OF WARRANTY

This Software Product is provided to You “as is” without warranty of any kind to the maximum extent by applicable law, express or implied, and to the maximum extent permitted by applicable law SoftBox makes no warranties, express or implied, including but not limited to any warranties of merchantability, performance, noninfringement of any third party rights or fitness for a particular purpose. There is no warranty by SoftBox that this Software Product will meet your requirements, operate without error, operate without interruption, that information, graphics and other items contained in this Software Product are free of error or complete, that harm will not be caused by the transmission of any computer virus, time bomb, logic bomb, worm or other such computer program. SoftBox disclaims any warranty to any third party.

LIMITED LIABILITY

SoftBox shall, to the maximum extent permitted by applicable law, in no event be liable for any damages whatsoever (including, but not limited to (and without limitation), lost profit, lost revenue, lost sales, business interruption, lost data or information, data damage, property damage, claims of third parties, personal injury or any other indirect, consequential or incidental damages) arising out of the use of or inability to use this Software Product, even if SoftBox has been advised of the possibility of such damages. In the event such restriction is not permitted by the applicable laws, but limiting the liability is permitted, then the maximum aggregate liability of SoftBox shall be limited to the purchase price of this Software Product (the amount You paid SoftBox for this Software Product). To the maximum extent permitted by applicable law You assume all responsibility and risk for downloading, installing, copying and using this Software Product.

HARDWARE AND SOFTWARE REQUIREMENTS

This Software Product is created to be used with Microsoft® Excel® 2007 English version software, Microsoft® Windows® and PC. The Software Product has been packed into zip files. You need to unpack this Software Product using appropriate unpacking software. This Software Product is not tested using other versions of Microsoft® Excel® software, or any other spreadsheet software. You are recommended to download, install, copy and/ or use this Software Product only if the requirements above can be met. Should You choose to download, install, copy and/ or use this Software Product by using any other software or hardware than the above recommended, then it will be at your own risk and responsibility, and SoftBox will not be held responsible for any consequences. It is your responsibility to make sure You have got the hardware, software, internet connection and other necessary technical equipment in order to download, install, copy and/ or use this Software Product.

TECHNICAL SUPPORT

SoftBox shall have no obligation to provide You with technical support or maintenance services. SoftBox may at its discretion provide updates and/ or upgrades to this Software Product and/ or its documentation at prevailing pricing and EULA.

APPLICABLE LAW

This EULA is governed by Finnish laws. All disputes concerning this EULA shall be settled by Finnish court in The Republic of Finland, Europe. It is your full responsibility to comply with applicable laws regarding downloading, installing, copying and/ or using this Software Product or any part thereof, and to comply with applicable import and export regulations concerning this Software Product or any part thereof – SoftBox assume no responsibility and will not be liable for your actions. If this EULA to any part is found illegal, invalid or unenforceable by court, then the rest of the content in this EULA shall remain valid, effective and enforceable to the maximum extent permitted.

GENERAL

YOU AGREE TO THAT YOU HAVE READ THIS EULA, THAT YOU FULLY UNDERSTAND THIS EULA AND THAT YOU ARE BOUND BY THE TERMS AND CONDITIONS OF THIS EULA BEFORE YOU DOWNLOAD, INSTALL, COPY OR USE THIS SOFTWARE PRODUCT. The headings in this EULA are only for your convenience. This EULA is the entire agreement between SoftBox and You regarding this Software Product.
